As President & Chief Operating Officer of Georgeson Canada, Roy is responsible for all aspects of Georgeson’s Canadian business. With 20 years experience, he is one of the pioneers in Canadian proxy solicitation services and has participated in almost every major M & A and proxy battle in Canada during that time.
Roy sits on numerous global committees with leaders of Georgeson offices worldwide and represents Georgeson Canada on the Computershare Canada Senior Management Team.
He is an active member of the Canadian Investors Relations Institute (CIRI) and the Canadian Society of Corporate Secretaries (CSCS). Roy is regularly called upon to advise companies on shareholder communication strategies and has spoken on numerous shareholder communications issues before members of CSCS, CIRI and Insight Information.

Mike McLeod

Mike McLeod is Senior Vice President of Georgeson. Based in Calgary, Mike is responsible for client relationships and business development within Western Canada. He is a key member of the Georgeson team that advises small and large-cap companies on how to win shareholder support and achieve corporate objectives. Mike has also worked on a wide variety of complex mergers and numerous proxy fights during his seven years at Georgeson.
Mike has more than 20 years of industry expertise culminating in his role as head of Computershare’s stock transfer business in western Canada. His M&A experience at Georgeson, together with his tenure at managing a large stock transfer operation, provides him with a unique and informed perspective in advising corporations on how to communicate with their shareholders and achieve corporate objectives. He is also an active local chapter member of both the Canadian Investor Relations Institute (CIRI) and the Canadian Society of Corporate Secretaries (CSCS).

Chris Makuch

As a specialist in shareholder response services, Chris provides strategic counseling and program execution in proxy solicitation, market surveillance/institutional shareholder identification, information agent services, and shareholder asset reunification/small shareholder programs.
Before joining Georgeson in 2008, Chris co-founded The Shareholder Response Group in 2002. He also worked in the Financial Services Division of Hill & Knowlton Canada and at Georgeson Shareholder Communications as Director of Business Development.
Chris has defended senior management and boards during hostile M&A transactions, successfully solicited shareholder votes during multi-billion dollar international mergers and implemented strategic, cost-saving programs for issuers.
He holds a Bachelor’s degree from the University of Western Ontario and has completed the Canadian Investment Funds Course.
Chris is a member of the Canadian Investor Relations Institute (CIRI) and is a past-member of the board of directors of the Canadian Society of Corporate Secretaries (CSCS).
He has spoken on M&A issues at the Canadian Bar Association’s Canadian Corporate Counsel Association Conference.

Simon Thomas

Based in Vancouver, Simon is responsible for Georgeson’s client relationship and business development within British Columbia.
Simon began his financial services career as a team manager in Georgeson’s London office, where he worked on many complex M&A transactions for some of the U.K.’s largest issuers. Since then he has held increasingly senior roles with a number of international fund services companies.
Before assuming his current role with Georgeson, Simon held the position of Manager, Client Services at Computershare, where he was responsible for the operations of the client services team in Vancouver. Simon’s client relationship management and financial services experience is a great asset when advising corporations on communication strategies with their shareholders in order to assist them in achieving their corporate objectives.
Simon is an active member of the Canadian Investor Relations Institute (CIRI), the Canadian Society of Corporate Secretaries (CSCS) and the Vancouver Board of Trade.

Susy Monteiro

Since 1998, Susy Monteiro has held increasingly senior positions within Georgeson Canada. In her current role of Vice President of Proxy Services, she heads the Georgeson Proxy Department responsible for structuring and overseeing all M&A, and proxy solicitation programs to achieve client objectives and goals. In that capacity, Susy’s primary responsibilities involve representing clients in proxy contests, mergers, tender offers, and corporate financings and restructurings. Susy is highly esteemed in the Canadian legal community for her involvement and noteworthy success rate in many of Georgeson Canada’s high-profile hostile and dissident programs.
Having previously worked for CIBC Mellon and Guaranty Trust, she has more than 20 years experience in the financial services industry. Susy has completed the Trust Companies Institute Program and is a member of Women in Capital Markets (WCM), Canadian Investor Relations Institute (CIRI) and the Canadian Society of Corporate Secretaries (CSCS).

Kathy Hillis
Manager, Proxy Services
Georgeson, Canada
Kathy oversees proxy programs that are led by a team of Account Executives. Her role is to provide assistance and insight during the implementation of strategies that ensure the success of these programs.
Kathy joined Georgeson in 2004 and has more than 27 years of industry experience including expertise in shareholder meetings, scrutineering, client servicing, stock transfer and corporate trust.
Before assuming her current role, Kathy worked as a Corporate Trust Professional at the Computershare Trust Company of Canada where she managed a portfolio of accounts. Kathy was also a member of Computershare’s conversion team which was responsible for implementing procedural and policy changes that enhanced operational efficiencies.
She has held increasingly progressive roles including various client servicing roles, Senior Account Manager, Stock Transfer, and Manager of Disbursements & Proxy.
Kathy received her Diploma, Business Administration at Sheridan College and holds her Specialist Trust Institute (STI) designation.
