Former shareholders in National Westminster Bank plc –

In March 2000, The Royal Bank of Scotland Group plc completed the compulsory acquisition of National Westminster Bank plc. Under the terms of the offer, former National Westminster Bank shareholders were entitled to receive £4 per share held, plus 0.986 of a Royal Bank of Scotland Group share. As a result of ownership of these shares, there may also be additional payments due in the form of unclaimed dividends, sale of rights and other distributions.

Georgeson will facilitate the claiming of these payments, arrange for the issue of the Royal Bank of Scotland shares or offer the opportunity to sell them through their dedicated dealing service.

Former shareholders in First Active plc –

In January 2004, The Royal Bank of Scotland Group plc completed the compulsory acquisition of First Active plc by way of a scheme of arrangement. Former shareholders in First Active were entitled to receive €6.20 in cash per share held. Holders may also have additional payments due to them in the form of a Capital Payment.

Georgeson will facilitate the claiming of the due payments.

Shareholders in The Royal Bank of Scotland Group plc –

Shareholders in The Royal Bank of Scotland Group plc who have not updated their records with the company registrar. There may be uncashed dividend payments and other, additional payments that have not been claimed due to changes of address or name or potentially through the death of the shareholder.

Georgeson will facilitate the claiming of these payments and arrange for the share registrar to be updated with the correct details so that further dividend payments etc will be received. Should a holder wish to sell The Royal Bank of Scotland Group plc shares, Georgeson will arrange this.
